Ortelan terms of use
These terms govern your use of Ortelan’s websites and your interactions with us through them.
1. Agreement to these terms
These Terms of Use (“Terms”) are a binding agreement between you and Ortelan Holdings LLC (“Ortelan,” “we,” “us” or “our”). They govern your access to and use of ortelan.com and any other website, page, form, newsletter or communication operated by Ortelan that links to these Terms (together, the “Sites”).
By accessing or using the Sites, submitting information through them or communicating with us through them, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Sites.
Please read the section titled “Dispute resolution and binding arbitration” carefully. It requires most disputes to be resolved through binding individual arbitration, waives jury trials and class actions, and explains how to opt out.
These Terms take effect on October 27, 2026.
2. Scope and other agreements
These Terms cover the Sites and the general information on them. Other relationships with Ortelan are governed by their own terms:
- Products. Praus, Lost Tribes and any other Ortelan product are governed by the terms of service, privacy policy and other policies published for that product on its own website.
- Client engagements. Work performed by Ortelan Deployments is governed only by a signed agreement with the client, such as a master services agreement and statement of work.
- Investments. Any investment by or in Ortelan Capital, or any fund or vehicle it manages, is governed only by signed definitive documents.
- Partners, employees and contractors. These relationships are governed only by a signed written agreement.
If one of those agreements or product terms conflicts with these Terms, it prevails for its own subject matter. These Terms continue to govern your use of the Sites.
3. Eligibility
You may use the Sites only if you are at least 18 years old and able to form a binding contract. If you use the Sites on behalf of a company or other organization, you confirm that you have authority to bind it to these Terms, and “you” includes that organization.
You may not use the Sites if you are located in, or ordinarily resident in, a country or region subject to comprehensive US sanctions, or if you are named on, or owned or controlled by anyone named on, a US or other applicable sanctions or restricted-party list.
4. Changes to the Sites and to these Terms
We may change, suspend or discontinue any part of the Sites at any time, with or without notice.
We may update these Terms from time to time. We will post the updated Terms on the Sites with a new effective date. Where a change is material, we will take reasonable steps to give notice, for example by a notice on the Sites. Changes take effect when posted, unless the notice says otherwise. If you keep using the Sites after a change takes effect, you accept the updated Terms. Changes do not apply to a dispute that was already notified under the dispute resolution section before the change took effect.
5. Information on the Sites
Everything on the Sites is general information about Ortelan. It is not legal, financial, investment, tax, accounting, technical or other professional advice, and you should not rely on it as such. Consult your own advisers before acting on anything you read on the Sites.
Descriptions of our products, services, capabilities, benchmarks, case studies, client work and results are summaries for illustration only:
- They may be simplified, out of date or incomplete. They may change at any time without notice, and we have no obligation to update them.
- Case studies describe specific engagements. Client names may be withheld and details changed. Results depend on circumstances and are not typical or guaranteed.
- Benchmark results are measured under specific conditions, may be self-reported or preliminary, and do not predict performance in your use.
- Nothing on the Sites is an offer that can be accepted to form a contract. Ortelan is bound only by a written agreement signed by an authorized representative.
Forward-looking statements. The Sites may contain statements about plans, expectations, products in development, markets and future performance. These statements involve risks and uncertainties, and actual results may differ materially. We do not undertake to update them.
6. Ortelan Capital: no offer and no advice
Information on the Sites about Ortelan Capital, its thesis, its investments or its portfolio companies is general information only. It is not an offer to sell, or a solicitation of an offer to buy, any security or any interest in any fund, vehicle or company. It is not a recommendation or investment advice.
Any offer of securities or fund interests will be made only through definitive offering documents provided to eligible persons, and only where lawful. Past performance does not indicate future results, and investments may lose value.
Ortelan does not act as your adviser, broker, agent or fiduciary because you visit the Sites, submit a pitch or communicate with us. Ortelan Capital has no obligation to review, respond to or invest in any company. It may invest in, or work with, companies that compete with yours.
7. Pitches, submissions and feedback
You may send us information through the Sites, including messages, pitch decks, business plans, applications, proposals and ideas (“Submissions”). Because we review many companies and ideas and develop our own, the following applies to every Submission:
- Not confidential. Submissions are not confidential or proprietary, and no confidential, fiduciary or other special relationship is created by sending one. We do not sign nondisclosure agreements to review pitches. Do not send trade secrets, material non-public information or anything you consider confidential.
- Independent development. We may already be considering, developing or investing in ideas, products or companies similar to yours. Nothing in a Submission limits what we may do independently.
- Your rights. You confirm that you have the right to send the Submission. You also confirm that sending it does not breach any agreement or law, or infringe anyone’s rights, including the confidentiality and privacy rights of others.
- License. You grant Ortelan and its affiliates a worldwide, royalty-free, perpetual, irrevocable license to use, copy, store, share and review Submissions for evaluating opportunities, operating our business and meeting legal obligations. This includes sharing them with our Partners, co-investors and advisers.
- No obligation. We have no obligation to review, respond to, return or keep any Submission, or to pay you for it.
Personal information in Submissions remains subject to our Privacy Policy and applicable law. Nothing in this section overrides a confidentiality obligation in a separate agreement signed by Ortelan.
Feedback. If you give us comments, suggestions or ideas about Ortelan, our products or the Sites (“Feedback”), we may use it for any purpose without restriction or payment to you. You assign to us any rights you have in Feedback, to the extent permitted by law.
8. Client work and Deployments
Ortelan Deployments designs, builds and operates systems for clients. Its scope, deliverables, security, data handling, intellectual property, warranties and liability are set only by a signed agreement. Statements on the Sites about how we work are not contractual commitments, and they do not create warranties or obligations.
9. Partners
“Partner” is a title Ortelan gives to certain senior people who work with us. It does not create a legal partnership, joint venture, employment, agency or fiduciary relationship. A Partner relationship and its terms, including any compensation, exist only under a written agreement signed by Ortelan. Materials that describe how Partners work with Ortelan are not an offer and do not create any obligation.
10. Careers and recruiting
Job listings and descriptions are not offers of employment or contracts of any kind. Employment with Ortelan begins only on terms in a written offer signed by an authorized representative. Unless a written agreement or applicable law provides otherwise, employment is at will.
Recruitment fraud. Ortelan never asks candidates to pay fees, buy equipment or share bank details or passwords to apply or be hired. Offers come only from an official Ortelan email address after interviews with our team. If someone claims to represent Ortelan and asks for any of these, do not respond, and report it through our contact page. Ortelan is not responsible for communications from anyone impersonating Ortelan or its people.
11. Products and AI features
Product information on the Sites is a summary. Features, availability, pricing, waitlists and benchmarks may change or be withdrawn at any time. Your use of any product is governed by that product’s own terms.
The Sites may include features, demonstrations or examples that use artificial intelligence. AI output can be inaccurate, incomplete, out of date or inappropriate, and it may look correct when it is not:
- Do not rely on AI output as a sole source of truth or as professional advice.
- Review AI output carefully before using it.
- Do not enter personal, confidential or sensitive information into AI features on the Sites.
You are responsible for how you use any output.
12. Acceptable use
You agree not to, and not to help or allow anyone else to:
- use the Sites in violation of any law or regulation, or for any fraudulent, harmful or deceptive purpose;
- probe, scan or test the vulnerability of the Sites or any related system, or breach or circumvent any security or authentication measure, except as permitted by the vulnerability disclosure policy on our Security page;
- interfere with or disrupt the Sites, including by overloading, flooding or sending malicious code;
- access the Sites by automated means, including bots, scrapers, crawlers and spiders. The one exception is search engine indexing that follows our robots.txt instructions;
- copy, collect, scrape or harvest content or data from the Sites, or use any part of the Sites or their content to build datasets or to train, fine-tune, evaluate or improve any artificial intelligence or machine learning model;
- reverse engineer, decompile or attempt to extract the source code of the Sites or any software on them, except to the extent the law expressly permits this despite this restriction;
- frame, mirror or republish the Sites or any substantial part of their content;
- impersonate Ortelan, its people or anyone else, or falsely state or imply an affiliation with, or endorsement by, Ortelan;
- send spam or unsolicited commercial messages, or collect personal information about others from the Sites;
- submit content that is unlawful, infringing, defamatory or harassing, or that contains personal information you have no right to share; or
- use the Sites to develop or market a competing product or service.
We may investigate violations and work with law enforcement. We may also take any action we consider appropriate, including blocking access.
13. Intellectual property and brand
The Sites and their content, including text, graphics, visualizations, software, code, design, logos and the selection and arrangement of material, are owned by Ortelan or its licensors. They are protected by copyright, trademark and other laws. Some images and materials belong to third parties and are used under license or in line with their terms.
We grant you a limited, revocable, non-exclusive, non-transferable license to view the Sites for your personal use or to evaluate doing business with Ortelan. All other rights are reserved, and no other rights are granted by implication or otherwise.
Ortelan, Praus, Lost Tribes and related names, logos and marks are trademarks of Ortelan or its affiliates. You may use brand assets we publish only as our brand guidelines allow. Such use must not suggest any sponsorship, endorsement or affiliation we have not agreed in writing, and we may withdraw permission at any time.
Our proprietary methods, processes, designs, know-how and other non-public business information remain the property of Ortelan or its licensors. Except as required by applicable law or an express written agreement, we have no obligation to disclose confidential technical or commercial information. Nothing on the Sites grants you a right to access or use that information.
14. Third-party sites and services
The Sites may link to, embed or rely on services operated by others, including external communications and publishing services. We do not control them and are not responsible for their content, policies, availability or practices. Your use of them is governed by their own terms and privacy policies.
15. Copyright complaints
If you believe content on the Sites infringes your copyright, send a notice to legal@ortelan.com. The notice must include:
- your physical or electronic signature;
- identification of the copyrighted work;
- identification of the material you claim is infringing and where it appears;
- your contact details;
- a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent or the law; and
- a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner.
We may remove material in response to valid notices, and we may terminate access for repeat infringers.
16. Privacy and security
Our Privacy Policy explains how we handle personal information, and it forms part of these Terms. No method of transmission over the internet is completely secure, and you send information to us at your own risk.
17. Electronic communications
By using the Sites or contacting us, you consent to receive communications from us electronically. You agree that agreements, notices and other communications we provide electronically satisfy any legal requirement that they be in writing. You may opt out of marketing emails at any time using the link in the email. Email is not a secure channel, so do not send sensitive information by email.
18. Disclaimers
In these Terms, the “Ortelan Parties” are Ortelan, its affiliates, and their respective members, managers, directors, officers, employees, Partners, agents, licensors and service providers.
THE SITES, AND ALL CONTENT, INFORMATION, MATERIALS AND OUTPUT ON OR AVAILABLE THROUGH THEM, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, THE ORTELAN PARTIES DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
THE ORTELAN PARTIES DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THEY ALSO DO NOT WARRANT THAT ANY CONTENT, BENCHMARK, CASE STUDY, FORWARD-LOOKING STATEMENT OR AI OUTPUT IS ACCURATE, COMPLETE OR RELIABLE. YOU USE THE SITES AND RELY ON THEIR CONTENT AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
19. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE ORTELAN PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. THEY WILL ALSO NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR OPPORTUNITY. THIS APPLIES TO ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITES, ANY SUBMISSION, OR ANY CONTENT OR OUTPUT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR ANY OTHER THEORY, AND EVEN IF THEY HAVE BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE ORTELAN PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITES WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).
THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND ORTELAN. THEY APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. IN THAT CASE, THE ORTELAN PARTIES’ LIABILITY IS LIMITED TO THE FULLEST EXTENT THE LAW PERMITS.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or waives any non-waivable consumer or privacy right.
20. Indemnity
To the fullest extent permitted by law, you will defend, indemnify and hold harmless the Ortelan Parties from and against all claims, demands, losses, liabilities, damages, judgments, settlements, costs and expenses, including reasonable attorneys’ fees. This covers anything arising out of or relating to:
- your access to or use of the Sites;
- your Submissions or Feedback;
- your breach of these Terms; and
- your violation of any law or of anyone’s rights.
We may take exclusive control of the defense of any matter subject to this section. You will cooperate with us, and you will not settle any matter without our prior written consent.
21. Dispute resolution and binding arbitration
Please read this section carefully. It affects your legal rights.
Informal resolution first
Before starting an arbitration or court proceeding, you and Ortelan agree to try to resolve any dispute informally.
- The party raising the dispute must send a written notice describing the dispute and the relief sought, with that party’s name and contact details. Notices to Ortelan go to legal@ortelan.com; notices to you go to the most recent contact details we have for you.
- For 60 days after the notice is received, both parties will try in good faith to resolve the dispute. If either party asks, they will meet individually by phone or video, with counsel if represented.
- This step is a condition of starting a proceeding. Limitation periods and filing-fee deadlines are paused during it.
Binding individual arbitration
If the dispute is not resolved within 60 days, it will be resolved by binding individual arbitration. This covers any dispute, claim or controversy arising out of or relating to these Terms, the Sites, any Submission, or any interaction with Ortelan covered by these Terms, including disputes about the scope or validity of this section (a “Dispute”).
- Provider and rules. JAMS administers the arbitration under its rules then in effect: the Streamlined Arbitration Rules for claims under US$250,000 and the Comprehensive Arbitration Rules for all others. The JAMS Consumer Arbitration Minimum Standards also apply where they apply to you.
- Governing statute. The Federal Arbitration Act governs this section.
- Arbitrator. A single arbitrator decides the Dispute.
- Relief. The arbitrator may award the same individual relief a court could. That relief may be awarded only to the individual party seeking it, and only as far as needed to resolve that party’s individual claim.
- Hearing. Claims under US$10,000 may be decided on written submissions alone.
- Judgment. Judgment on the award may be entered in any court with jurisdiction.
Exceptions
Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek injunctive or other equitable relief in court to protect intellectual property, confidential information or the security of the Sites, or to stop unauthorized access, scraping or other misuse.
Class action and jury trial waiver
YOU AND ORTELAN MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. UNLESS BOTH PARTIES AGREE IN WRITING, NO ARBITRATOR MAY CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. YOU AND ORTELAN EACH WAIVE THE RIGHT TO A JURY TRIAL.
Mass arbitration
If 25 or more similar Disputes are brought against Ortelan by or with the help of the same or coordinated counsel or organizations, the following applies:
- The parties will select 10 Disputes, five chosen by each side, to proceed first as test cases.
- The remaining Disputes will not be filed or administered, and no fees will be charged for them, until the test cases are resolved.
- The parties will then mediate all remaining Disputes in good faith.
- Any Disputes still unresolved will proceed in batches of up to 25, one batch at a time.
- Limitation periods are paused for Disputes waiting to proceed.
- A court may enforce this process.
Who decides
The arbitrator decides all questions about the interpretation, scope, applicability and enforceability of this section, with three exceptions. A court decides any question about the class action and jury trial waiver, the mass arbitration process, and the exceptions above.
Fees
Fees are allocated under the applicable JAMS rules. Where the Consumer Minimum Standards apply, Ortelan pays the fees those standards require it to pay. Each party bears its own attorneys’ fees and costs. However, the arbitrator may award fees and costs where applicable law allows, or where a claim or defense is found to be frivolous or brought for an improper purpose.
Opting out
You may opt out of this agreement to arbitrate within 30 days of first accepting these Terms. To do so, send an email to legal@ortelan.com with your name, your mailing address and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
Severability and changes
If the class action waiver is found unenforceable for a particular claim, that claim is severed and paused until the individual claims are arbitrated, and it then proceeds in court. If any other part of this section is found unenforceable, the rest remains in effect.
If we change this section, the change will not apply to a Dispute already notified. You may reject the change by notice to us within 30 days, in which case the previous version applies to you.
22. Governing law
The Federal Arbitration Act governs the agreement to arbitrate. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
23. Time limit to bring claims
To the fullest extent permitted by law, any claim arising out of or relating to these Terms or the Sites must be brought within one year after it arises. A claim not brought within that time is permanently barred.
24. Export controls and international use
You will comply with all applicable export control and sanctions laws in using the Sites and any information obtained from them.
The Sites are operated from the United States. We make no representation that they are appropriate or available elsewhere. If you access them from another location, you do so on your own initiative and are responsible for complying with local law.
If you are a consumer, nothing in these Terms limits any rights you have under the mandatory laws of the country where you live that cannot be waived by contract.
25. Suspension and termination
We may suspend or end your access to all or part of the Sites at any time, for any reason, without notice or liability. Sections that by their nature should survive will survive any termination, including those on Submissions, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution and governing law.
26. General terms
- Entire agreement. These Terms, together with the Privacy Policy and any terms referenced in them, are the entire agreement between you and Ortelan about the Sites. They replace any prior understanding on that subject.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them without restriction, including to an affiliate or in connection with a merger, acquisition or sale of assets.
- Severability and waiver. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
- Force majeure. We are not responsible for any delay or failure caused by events beyond our reasonable control.
- Relationship. Nothing in these Terms, or in your use of the Sites, creates a partnership, joint venture, employment, agency or fiduciary relationship.
- Third-party beneficiaries. The Ortelan Parties are intended beneficiaries of the disclaimers, limitations and indemnity in these Terms. Otherwise, there are no third-party beneficiaries.
- Interpretation. Headings are for convenience only. “Including” means “including without limitation.” If these Terms are translated, the English version controls.
- Notices. Legal notices to Ortelan must be sent to legal@ortelan.com.
- California users. Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
27. Contact
